NBFC Business-Loan Foreclosure Charges: Why the ₹50 Lakh Test Matters
An NBFC business borrower should not assume that every “no foreclosure charge” headline applies to their facility. The lender's regulatory layer and the original sanctioned amount can change the result.

Check the current scope
For qualifying floating-rate business loans sanctioned or renewed from 1 January 2026 to individuals and MSEs, RBI's NBFC conduct direction distinguishes upper-layer NBFCs from middle-layer NBFCs. The middle-layer protection is limited to sanctioned amounts up to ₹50 lakh. Other cases require examination of the applicable rules and disclosed policy.
Do not substitute today's outstanding balance for the sanctioned-amount test. A ₹70 lakh sanction reduced to ₹40 lakh is not automatically a ₹40 lakh sanctioned facility.
Identify the actual lending entity
The app or brand through which the loan was sourced may differ from the legal lender. Use the agreement and sanction letter, then confirm the relevant NBFC classification from authoritative records or the lender.
Ask for the closure calculation and a written explanation of the prepayment provision applied. Keep payment dates and renewal evidence available.
Test the proposed alternative
A lower-rate replacement loan may have processing costs, a different tenure or additional security requirements. Compare the remaining cash outflow on the old loan with the complete cost of the new one, including any properly applicable closure costs.
If the purpose is to reduce monthly pressure, distinguish genuine savings from merely spreading repayment over more years.
Practical next step: create a four-line fact sheet—legal lender, sanction or renewal date, sanctioned amount and current rate type. It is the fastest way to move from a general headline to a case-specific assessment.
