Bank Business-Loan Prepayment Charges in 2026: Does the New Rule Cover You?

Before paying a foreclosure charge on a business loan, identify the lender, borrower category, rate type and sanction or renewal date. The 2026 protection is specific; an old generic fee table may not answer your case.

The relevant commercial-bank rule

For loans sanctioned or renewed from 1 January 2026, RBI's applicable commercial-bank direction prohibits prepayment charges on floating-rate business loans to individuals and MSEs. Other bank categories have their own directions; do not apply this statement indiscriminately to every institution.

Check whether the borrower is micro or small rather than medium, and whether the facility is floating at the relevant time. Fixed-rate and older facilities require separate examination.

Obtain a dated closure statement

Ask the lender to separate principal, accrued interest, prepayment charges and other amounts. Request the contractual and regulatory basis for any disputed charge in writing.

A zero prepayment charge does not necessarily mean there are no costs associated with a transfer. New-lender processing, valuation, legal documentation and security-related expenses can still affect the decision.

Plan the transition

Coordinate repayment, document release, charge changes and the new lender's disbursement conditions. A delay between closing the old facility and activating the new one can disrupt daily operations.

For a revolving account, check the agreed notice and non-renewal process. Simply stopping use is not the same as completing closure.

Before refinancing: calculate savings after all applicable costs and confirm how the business will operate during the transfer. The regulatory protection can improve the economics, but it does not make every balance transfer worthwhile.

Keep the original sanction, renewal letter and rate history available. Those documents make the applicability discussion much more precise than a screenshot of a promotional headline.
