Ten Due-Diligence Problems That Can Derail an Equity Raise

A strong sales record does not automatically make a business ready for equity investment. Problems become expensive when they emerge after the investor has committed time to valuation and legal review.

Ten areas to examine before outreach

  1. Ownership: reconcile the share register, certificates or demat records and past allotments.
  2. Revenue quality: explain customer concentration, cancellations, credit notes and unusual year-end sales.
  3. Cash conversion: reconcile reported profit with collections, stock and overdue receivables.
  4. Related parties: identify promoter-linked purchases, loans, leases and remuneration.
  5. Property rights: establish ownership or enforceable use rights for essential premises.
  6. Tax exposures: list notices, disputed demands, unpaid amounts and management’s assessment.
  7. Borrowing restrictions: surface negative pledges, consent requirements and change-of-control clauses.
  8. Intellectual property: establish who owns software, brands, designs and employee-created work.
  9. Litigation and guarantees: include contingent obligations outside routine trade payables.
  10. Management information: explain inconsistencies between audited accounts, monthly reports and the pitch deck.

This is a practical diagnostic list. IFC’s governance methodology supports attention to controls, disclosure and shareholder treatment, but does not prescribe this as a universal investment checklist.

Distinguish a problem from a concealed problem

An old tax dispute with documents, a quantified range and a clear response may be manageable. The same dispute discovered after management has represented that no claims exist can damage confidence beyond its monetary value.

For each issue, record what happened, the supporting evidence, potential exposure, corrective action and responsible person. Obtain professional advice where the answer depends on law or accounting treatment.

Decide what must be fixed before closing

Some matters may be resolved through corrected records, consent or repayment. Others may require a price adjustment, specific indemnity or a condition to completion. Do not assume that every weakness can be solved by signing a broad warranty.

The Companies Act provides the legal framework for capital, records and governance; the applicable section and any company-specific exemption must be checked. Commercial diligence usually goes beyond minimum filing compliance.

Put consistency first

Before sharing the data room, ask the finance lead to trace the headline revenue, debt and ownership figures across every document. A coherent explanation of a difficult business fact is more useful than several polished documents showing different numbers.
