SARFAESI Notice Received: An MSME’s First 60-Day Action Plan

A SARFAESI demand notice requires prompt attention. For an MSME, the financial and legal response should develop together: reconcile the claim, preserve documents and examine a feasible repayment or resolution proposal.

Identify the notice and its stage

Section 13(2) generally provides a 60-day demand period where the statutory conditions apply. Under section 13(3A), the creditor must consider a representation or objection and communicate reasons for non-acceptance within 15 days. Section 17 generally provides 45 days to challenge a section 13(4) measure before the DRT. The precise trigger matters; every bank letter is not the same procedural event.

Have counsel check applicability, service, security, NPA classification and section 31 exclusions, including the agricultural-land exclusion where factually relevant. MSME status alone is not a blanket bar to enforcement.

First week: assemble the record

Collect sanction letters, account statements, security documents, guarantees, payment evidence and correspondence. Save the notice and delivery evidence. Reconcile the bank’s claim against your books and identify specific differences.

Next: respond with evidence

Give counsel a numbered list of factual objections supported by records. Separately, prepare a short cash forecast and explain whether the business is viable, which collections can be accelerated and what contribution is available. Avoid making unsupported statements merely to fill the response.

Evaluate a workable resolution

A restructuring proposal should show sustainable debt service after operational changes. An OTS proposal should show how the agreed amount would be funded. If an asset sale is proposed, identify title, charges, consent requirements and realistic net proceeds.

For example, a property valued at ₹8 crore does not necessarily produce ₹8 crore available for settlement after prior claims, taxes and sale costs. Use net cash and realistic timing.

Maintain two calendars

Track the negotiation milestones and legal deadlines separately. A representation, pending settlement request or prospective investor does not itself stop enforcement. Obtain specific legal advice on the available remedy and any need for interim relief.

The outcome depends on the lender, security, statutory conditions, documents and procedural stage. Use the demand period to establish facts and an executable response rather than assume that a generic objection will resolve the account.
