Private Credit vs Bank Loan: Choosing the Right Fit for an Indian Business
Choosing a lender starts with the purpose and repayment capacity of the business. A bank facility and a private-credit transaction may solve different problems, even when the headline funding amount is identical.

Compare the structure before the price
A working-capital line supports an operating cycle; a term facility funds expenditure over a defined period. Private credit may use a loan or securities structure, depending on the provider and applicable law. The label does not establish the regulatory route.
RBI’s current commercial-bank credit directions and SEBI’s AIF framework apply to different regulated participants. Neither creates an entitlement to finance. Identify the actual lending or investing entity before assessing its proposal.
Ask the same questions of both providers
Request a written comparison of net proceeds, payment dates, all fees, interest or redemption amounts, security, guarantees, covenants and early-exit costs. Include monitoring and legal expenses where payable by the borrower.
Timing matters too. A facility that disburses only after a condition is met cannot fund expenditure needed to satisfy that same condition unless another source bridges the gap.
Test repayment under pressure
Suppose an illustrative business expects a major customer payment in nine months. A bullet facility may appear convenient, but delayed collection creates a concentrated maturity risk. An amortising loan reduces that concentration while requiring earlier cash generation.
Model both alternatives against delayed receipts and lower operating cash. Compare the lowest cash balance, not just total interest. Capitalised interest postpones payment; it does not remove the obligation.
Understand flexibility precisely
Do not assume that every private fund is faster or every bank is inflexible. Ask who approves changes, what constitutes default, and whether consent is needed for dividends, expansion or new borrowing. These are transaction-specific terms.
Select a structure that the business can service and administer. Where neither proposal works in a credible downside case, reconsider the project size, equity requirement or timing before choosing a provider.
