Is Your Sector Open to FDI? Caps, Conditions and Business Classification
A foreign investor’s willingness to invest does not establish that the proposed percentage or activity is permitted. Sector analysis should be completed before valuation negotiations become a firm commitment.

A cap is only one part of the answer
The NDI framework combines sector limits with entry routes and conditions. Examples of prohibited areas include lottery, gambling and specified real-estate business. The real-estate definition contains important exclusions; property development or rental activity should not be classified simply by the word “property”.
The analysis also needs the relevant regulator’s rules. A sector may permit foreign investment while still requiring operating licences, security conditions or other approvals.
Describe the business precisely
Ask the operating team to list products, revenue sources, customer contracts and licences. Distinguish an online marketplace from buying and reselling inventory. Distinguish developing a product from carrying on a regulated financial service. Those factual differences can change the answer.
Avoid copying a cap from an old presentation without checking the current rule and subsequent amendments. The 2020 FDI policy is a starting document, not a complete 2026 amendment history.
Calculate the proposed position
Prepare a fully diluted capitalisation table showing existing direct foreign investment, relevant indirect foreign investment and the new issue or transfer. Include conversions and other rights that affect the analysis. Ask the professional reviewer to identify any special calculation rule rather than assuming one method covers every case.
An illustrative proposal for 30% new foreign ownership cannot be assessed in isolation if the company already has foreign holdings or receives indirect foreign investment through an Indian shareholder.
Keep conditions in the business plan
- Identify approvals needed before completion and before operations.
- Assign responsibility for ongoing conditions.
- Review whether new business lines would change the conclusion.
- Check investor-specific restrictions separately.
- Align the investment agreement with permitted activities.
If a planned expansion would enter another regulated activity, discuss whether the entity structure and funding plan need to change. Do not implement a restructuring merely to conceal the real business.
A useful sector note explains the facts, the applicable provision and the obligations that follow. A single percentage in a pitch deck cannot do that work.
