FC-GPR, FC-TRS and FLA: Three Different FEMA Reporting Obligations
Foreign-invested companies often confuse issue reporting, transfer reporting and annual reporting. They answer different questions and can apply to the same company at different times.

Match the form to the event
FC-GPR: the Indian company reports a qualifying FDI issue within 30 days of issue.
FC-TRS: specified transfers are reported within 60 days of transfer or receipt/remittance of funds, whichever is earlier; coverage and responsibility depend on the transfer category.
FLA: covered entities with outstanding FDI and/or ODI report annually, normally by 15 July. RBI’s FAQs were updated on 1 July 2026.
These headline deadlines do not describe every exemption, investment category or special transaction. Read the actual reporting provision before deciding that a form is required or unnecessary.
Keep annual reporting separate
FLA is not replaced by FC-GPR. RBI permits filing on available unaudited figures by the deadline, followed by the required revision process when audited accounts are ready. Waiting for the audit is therefore not a safe reason to ignore the annual obligation.
Build an event ledger
For every investment event, record receipt date, issue or transfer date, investor residence, repatriation basis, instrument, amount and filing responsibility. Link each entry to the bank advice, valuation evidence and signed documents.
Suppose a company receives a fresh subscription and a founder separately sells shares to another non-resident. Treat the two transactions individually. The company receiving cash and the founder receiving sale proceeds are not the same economic event.
Do not confuse upload with closure
Retain the acknowledgement and track any resubmission or clarification request. Reconcile the reported number of securities with corporate records and the capitalisation table. A mismatch discovered during the next fundraise can be harder to repair than one identified immediately.
If a filing is late
Ask the authorised dealer or responsible professional to assess the available regularisation route. A late-submission fee, where available, addresses specified reporting delay; it should not be assumed to cure a substantive pricing, eligibility or issue violation.
Assign a named owner and a backup. The most useful reporting calendar is connected to actual receipts and corporate actions, rather than maintained as a generic annual reminder.
