Building an Investor Data Room Before an Equity Raise

A data room should let an investor verify the investment case without repeatedly asking management to reconstruct basic records. It is most useful when the folders reflect how the business operates and how the proposed transaction will close.

Start with a clear index

Use folders for corporate records, ownership, financials, tax, borrowing and security, material contracts, property, people, intellectual property, litigation and the proposed transaction. Adapt the structure to the business; a factory and a software company do not have identical evidence needs.

IFC’s governance tools include document-request material, which can help identify governance evidence. The following preparation approach is a practical recommendation, not a statutory checklist.

Establish a single financial story

Provide audited statements, recent management accounts and reconciliations to the model. Explain unusual items and movements in debt, cash, stock and receivables. Label forecasts clearly and retain the assumptions used to prepare them.

An investor should be able to trace the revenue in the presentation to the accounts and understand any adjustments. Do not upload multiple unexplained versions of the same model.

Control access and versions

Agree confidentiality before sharing. Use named access, staged disclosure and an access log. Protect employee, customer and commercially sensitive information; provide redacted or aggregated material when appropriate and have counsel assess disclosure obligations.

Name files consistently, identify the document date and replace obsolete versions through a controlled process. A folder called “final latest new” is not a reliable version system.

Keep an issue register

For every missing or disputed item, state the gap, owner, intended action and expected date. Do not leave an empty folder without explanation or mark an unresolved item as complete.

Run a sample diligence test: choose a major contract, a borrowing and an allotment, then trace each through its supporting approvals, accounting and compliance records. This reveals whether the room contains evidence or merely documents.

Maintain it after outreach

Assign one coordinator to track questions and ensure consistent answers. Update material events promptly. A data room is a maintained record of the business, not a one-time upload before investor meetings.

Good preparation reduces avoidable friction and helps management explain difficult facts early. It does not replace the investor’s independent due diligence or guarantee an investment.
