Bank Debt, Private Credit and Promoter Equity: Making a Hybrid Funding Structure Work
Combining several funding sources can help complete a financing plan, but it also creates dependencies. Each provider must understand where its money sits, when the others contribute and which cash flows service the obligations.

Begin with a complete sources-and-uses statement
For an illustrative ₹100 crore requirement, assume ₹50 crore bank debt, ₹20 crore private credit and ₹30 crore equity. This is a modelling example, not a prescribed ratio or a funding offer.
Include fees, interest during construction, contingencies and initial working capital in uses. If these are outside the ₹100 crore estimate, the apparent funding balance is misleading.
Do not treat every contribution as equity
Share capital, subordinated debt and redeemable instruments have different legal and economic features. Obtain each lender’s definition of acceptable promoter contribution. Funding carrying a repayment obligation may increase group leverage even if it is presented as quasi-equity.
RBI’s applicable project-finance provisions address funding and disbursement conditions. A commercial label cannot override the regulated lender’s requirements.
Resolve priority before closing
Agree security ranking, cash-flow allocation, information sharing and consent rights. Address standstill arrangements, enforcement coordination and release mechanics where relevant. Independent legal advice is needed to document the arrangement and assess enforceability.
If one provider expects first access to operating cash while another assumes the same cash will service its bullet repayment, the model contains a conflict.
Synchronise the commitments
Prepare a closing checklist showing conditions, responsible parties and dates. Determine whether equity must arrive first or proportionately, and what happens if another commitment expires or is reduced.
Avoid circular conditions under which the bank will release only after the fund and the fund will release only after the bank.
Model the combined burden
Stress-test interest, amortisation, redemption and required reserves together. A junior tranche with deferred payments can create a large later obligation. The structure works only when the business can meet the total burden and the documents permit the intended flow of funds.
